contract and commercial Litigation

Given his long record of reading and interpreting insurance policies and employee restrictive covenants, Dalziel is an outstanding choice for litigation over any other type of contract—as well as an attorney in drafting a contract unilaterally, or negotiating a contract and delivering a final contract for the parties to execute. Dalziel’s antennae are perched high to perceive of potential issues in the language of contracts, such as ambiguity, enforceability, etc. Dalziel also handles commercial litigation of all types. Here are a few examples of the types of cases he can handle:

  • Business Divorces involving partnership agreements, LLC Operating Agreements, and Shareholder Agreements ;

  • Shareholder claims for unique injury and shareholder’s derivative actions;

  • Uniform Commercial Code disputes, particularly related to the laws of banking;

  • Business torts (including, tortious interference with contractual relations, misappropriation of business opportunities, and trade secret violations);

  • Federal and Georgia securities claims;

  • Federal and Georgia RICO claims. Dalziel has just delivered a paper on this topic and an accompanying presentation to the Cobb Bar.

Dalziel has vast experience in both arbitration and mediation proceedings— as an attorney, as an arbitrator, and a lawyer representing one of the parties. Dalziel is uniquely qualified to deal with the lack of expansive discovery, including sometimes a full lack of depositions, in arbitration. He relishes taking on witnesses for the first time at the arbitration hearing.
